The Site is available only to Authorized Users residing in the United States and solely for the purpose of distributing, including servicing, Franklin Templeton products or services as authorized under such Selling or Distribution Agreement ("Distribution Services "). The Site is not accessible to the public and shall not be distributed to any individual other than an Authorized User. The Site has not been filed with FINRA and generally does not contain the same disclosures required for public or shareholder communications.
As a reminder, under the Selling or Distribution Agreement, regardless of the medium used, you are responsible for ensuring that the Distribution Services are conducted in compliance with all applicable securities laws and regulations, including those applicable to the paper or electronic delivery of Fund prospectuses and shareholder reports or Section 529 college savings plan disclosure documents. In addition, pursuant to the Selling or Distribution Agreement, any of your websites or other marketing information that mentions Franklin Templeton or our products or services or Section 529 college savings plans distributed by us must be sent to us for our approval (unless we furnished the material).

Use of Fund Information. You are not authorized to give any information or make any representations concerning Franklin Templeton Funds, or shares of any such Funds, except those contained in the Fund's then-current prospectus or legal disclosure document (e.g., for unregistered Funds), or materials issued by us as information supplemental to such prospectus or legal disclosure document. You are also not authorized to give any information or make any representations concerning the Franklin Templeton 529 College Savings Plan, except those contained in the then-current Investor Handbook, or materials issued by us as information supplemental to the Investor Handbook. All Site Content prepared by or on behalf of a Fund, the Franklin Templeton 529 College Savings Plan, that is available on the Site ("Franklin Templeton Electronic Information") is in a form that has been legally approved by Franklin Templeton and where applicable (and so indicated) has been filed with FINRA. You agree to use the Franklin Templeton Electronic Information at your sole risk and responsibility and in accordance with all applicable laws, regulations and rules as well as in accordance with all instructions and directions that accompany it, and the terms and conditions of the Selling or Distribution Agreement. Unless and to the extent required by law or written agreement, we are not responsible for any additional costs or liabilities that you may incur in connection with your election to use the Franklin Templeton Electronic Information or our Site. You will receive a user identification and password (collectively, the "Access Code") which must be maintained as private and confidential. Each Access Code can only be used by one Authorized User with respect to its activities on behalf of a particular Firm. You are solely responsible for maintaining the confidentiality of your account and Access Code, and for restricting access to your computer. You agree to accept responsibility for all access to the Site and any use, misuse, or communications occurring on the Site through your Access Codes that are due to your conduct, inaction, or negligence.
You agree to notify us immediately if you become aware of any disclosure, loss, theft or unauthorized use of your Access Code, and we reserve the right to delete or change one or both of them at any time and for any reason. We shall not be under a duty to inquire into the authority of propriety of any use, instructions or communications ("Instructions") transmitted through the Site using the above security procedures. We shall be entitled to treat as authorized and act upon any such Instructions and shall not be liable for any loss, cost, expense or other liability arising out of any such Instructions.

The Site is not intended to provide any tax, legal, insurance or investment advice, and nothing on the Site should be construed as a recommendation, by us or any third party, to acquire or dispose of any investment or security, or to engage in any investment strategy or transaction. While certain tools available on the Site may provide general investment or financial analyses based upon your personalized input, such results are not to be construed as our providing investment recommendations or advice. Unless otherwise specified, you alone are solely responsible for determining whether any investment, security or strategy or any other product or service, is appropriate or suitable for your clients based on their investment objectives and personal and financial situation. You should consult, or advise them to consult, an attorney or tax professional regarding the specific legal or tax situation.

Fund Performance. Investment return and principal value for our Funds will fluctuate with market conditions, and you may have a gain or loss when you sell your shares. Past performance does not guarantee future results. Money market funds seek to maintain a value of $1.00 per share, but there can be no assurance that they will. Mutual funds, annuities and other investment products are not FDIC insured; are not deposits or obligations of, or guaranteed by, any financial institution; and are subject to risks, including possible loss of the principal amount invested.
Investment Risks. All of the funds are subject to certain risks. Generally, investments offering potential for higher returns are accompanied by a higher degree of risk.
Stocks and other equities representing an ownership interest in a corporation have historically outperformed other asset classes over the long term but tend to fluctuate more dramatically over the shorter term. Bonds, and other debt obligations, are affected by the creditworthiness of their issuers and changes in interest rates, with prices often declining as interest rates increase. High yield, lower rated ("junk") bonds generally have greater price swings and higher default risks. Foreign investing, especially in developing countries, has additional risks such as currency, market volatility, and political and social instability.
These risks, and other risks that particular funds may be subject to, such as specialized industry sectors or use of complex securities, are discussed in each fund's prospectus.
Franklin Templeton 529 College Savings Plan Important Legal Information. Non-qualified withdrawals are subject to a 10% federal tax penalty and ordinary federal income taxes on earnings, as well as state taxes and possible penalties. Performance data shown represents past performance, which does not guarantee future results. A plan portfolio's investment return and principal value will fluctuate so that an investor's shares, when redeemed, may be worth more or less than their original cost. Current performance may be lower or higher than the performance data quoted.
Investors should carefully consider a portfolio's investment goals, risks, charges and expenses before investing. See the Investor Handbook for more information on Franklin Templeton 529 College Savings Plan, including sales charges, expenses, general risks of the Plan, general investment risks and specific risks of investing in Plan portfolios, which can include risks of convertible securities; country, sector, region or industry focus; credit; derivative securities; foreign securities, including currency exchange rates, political and economic developments, trading practices, availability of information, limited markets and heightened risk in emerging markets; growth or value style investing; income; interest rate; lower-rated and unrated securities; mortgage securities and asset-backed securities; restructuring and distressed companies; securities lending; smaller and midsize companies; credit linked securities, life settlement investments, and stocks. To obtain an Investor Handbook, which contains this and other information, call us at 800/818-4030, or go to the Order Literature section on this website. You should read the Investor Handbook carefully before investing and consider whether your client's, or the beneficiary's home state offers any state tax or other benefits that are available for investments only in its qualified tuition program.

Electronic Services Agreement For Account Access
Please read and accept the following revised agreement effective February 2015.
1. Your authorization and consent to electronic services.
By clicking "Accept" below to indicate your consent to the terms and conditions of this Electronic Services Agreement ("Agreement"), you're authorizing Franklin Templeton Investments (FTI), the Franklin Templeton Funds, the 529 College Savings Plans and their agents, to provide you with Electronic Services, which includes authorizing us to act on electronic instructions received in connection with our providing electronic access to your Account(s), including viewing your Account and conducting transactions. You are the only authorized user of the services under this Agreement.
2. Keep your security information confidential and enter your instructions accurately.
Your user name, password and other security information are confidential, so keep them secure. Also, please type carefully when using the Electronic Services because you are responsible for accurately entering all data to perform a transaction and for verifying all instructions and information. You agree that we do not have a duty to question information or instructions you give to us under this Agreement, and that we are entitled to treat as authorized, and act upon, any such information or instructions you submit to us. Provided that FTI follows reasonable security procedures and acts on information or instructions we reasonably believe are genuine, we will not be responsible for any expenses or losses that may occur from unauthorized requests.
3. Written Confirmations and receipts, and your obligations.
We'll send a written confirmation to your postal address of record (or to your email address if you are enrolled in our electronic delivery program) promptly after each electronic purchase, sale, or exchange request for your Account has been executed ("Confirmation"). There are a few exceptions: money fund transactions may be reported on your monthly Account statement, and automatic investment or withdrawal program transactions and dividends are reported on your quarterly Asset Summary Statements. (For these types of transactions, the Account statements legally serve as the written Confirmation.)
After you conduct an electronic transaction, you will receive an online verification and reference number — that number simply informs you that we have received your purchase, sale, or exchange request. That verification doesn't mean the purchase, sale or exchange request has been accepted or executed — only the Confirmation can tell you that. For other transaction requests, there will also be an online verification and reference number to let you know we received your request.
As part of our security procedures, we'll send you a written acknowledgement, either to your postal address of record or to the email address you've provided to us, after you initially register, change your PIN, change your address of record, or change other personal or financial information. You agree to be responsible for reviewing all of your FTI Account statements you receive in order to verify the accuracy of the information, including all electronic transactions. You also agree to notify us promptly of any errors, inaccuracies, or omissions in such FTI Account statements.
You further agree to contact us immediately if:
- you didn't receive an online verification with reference number at the time you submitted your purchase, sale, or exchange request, or
- you haven't received a written Confirmation within a reasonable time after your purchase, sale, or exchange request, or
- the Confirmation doesn't match your records, or is for a purchase, sale, or exchange you didn't request, or
- the acknowledgement doesn't match your records, or is for an action you didn't request, or
- you believe someone has obtained unauthorized access to your Account, user name or password
4. Other relevant conditions.
6. No warranties.
WE TAKE ALL REASONABLE MEASURES TO ENSURE THE SITE, THE MATERIAL ON THE SITE AND THE ELECTRONIC SERVICES ARE AS ACCURATE AND TIMELY AS POSSIBLE AND THAT DISRUPTIONS OF SERVICE ARE MINIMAL. BUT FRANKLIN TEMPLETON INVESTMENTS MAKES NO WARRANTY OR GUARANTEE CONCERNING THE UNINTERRUPTED AVAILABILITY OF THE ELECTRONIC SERVICES, INCLUDING THIS SITE OR THE SERVICES OR INFORMATION ON IT. FRANKLIN TEMPLETON INVESTMENTS EXPRESSLY DISCLAIMS ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. PARTICIPATING IN THE ELECTRONIC SERVICES INVOLVES SENDING AND RECEIVING PERSONAL FINANCIAL INFORMATION OVER THE INTERNET, AND POTENTIALLY OTHER ELECTRONIC NETWORKS AND THERE MAY BE CERTAIN ASSOCIATED RISKS. ON RARE OCCASIONS PROBLEMS MAY ARISE, SUCH AS EMAILS FAILING TO TRANSMIT, LINKS FAILING TO FUNCTION PROPERLY OR A SYSTEM FAILURE AT YOUR ELECTRONIC SERVICE PROVIDER. IT'S IMPORTANT THAT YOU MAKE SURE YOU'RE COMFORTABLE WITH THE EFFORTS OF FRANKLIN TEMPLETON INVESTMENTS TO SAFEGUARD YOUR ACCOUNT INFORMATION. HOWEVER, EVEN WITH THE SECURITY WE HAVE IN PLACE, FRANKLIN TEMPLETON INVESTMENTS CANNOT GUARANTEE THE CONFIDENTIALITY OF ANY INFORMATION TRANSMITTED OVER THE INTERNET OR OTHER ELECTRONIC NETWORKS. YOU ASSUME THE ENTIRE RISK RELATED TO YOUR PARTICIPATION IN THE ELECTRONIC SERVICES.
7. Limitation of liability.
In no event will Franklin Templeton Investments, the Franklin Templeton Funds, or a 529 College Savings Plan be liable to you for any special, direct, indirect, consequential or incidental damages even if you have advised them of such possibility. You acknowledge that this limitation of liability was a significant factor in Franklin Templeton's providing these services at no cost to you and therefore you agree to accept this allocation of risk between you and FTI.
8. No fees for site use.
Franklin Templeton Investments does not charge you any fees for participating in the Electronic Services, but you may incur Internet access or other related charges from third parties, such as your electronic service provider.
9. Hardware and software needed.
To participate in the Electronic Services, including electronically accessing your account, you will need the computer hardware and software described in our site's Help area, including a printer with graphics capabilities. Some documents, such as fund prospectuses and reports, may be available online only in PDF ("Portable Document Format"). To view a PDF, you'll need Adobe Acrobat® Reader (version 6.0 or higher) which your browser may already provide or which you may download free from Adobe's website at www.adobe.com. If you need technical assistance, you may contact Shareholder Services at (800) 632-2301. Downloading speeds may vary depending on your Internet connection. Before agreeing to participate in the Electronic Services, you may first want to test your connection to our site and your viewing, downloading, or printing experience. By clicking "Accept," below, you represent that you have the necessary computer hardware and software to access your Account and to view, download and print any documents, information or services you elect to access under this Agreement. This representation will continue throughout the term of this Agreement, unless you notify us otherwise.
10. Not all accounts or all Franklin Templeton Funds can participate.
Depending on your specific situation, some exceptions to the Electronic Services may apply. For example, trust or business accounts or retirement plans for which FTI is not the trustee, sponsor or record keeper currently cannot electronically access their Accounts (although this may change).
11. Service or Agreement changes.
Franklin Templeton Investments may change the Electronic Services we offer on our website at any time and without prior notice. We may also amend the terms of this Agreement at any time without prior notice to you. All changes will be effective upon the posting of the revised Agreement.
